ROLE OVERVIEW

Harvey is hiring a M&A Counsel to execute on complex, high-impact M&A transactions , while supporting adjacent corporate and partnerships legal needs.

This role is ideal for an experienced M&A lawyer who can own and drive M&A work streams end-to-end with minimal oversight, build Harvey’s M&A playbook and design scalable, AI-forward legal processes, and partner cross-functionally to execute Harvey’s acquisition strategy.

WHAT YOU'LL DO

  • Execute on M&A and other strategic transactions, including due diligence, structuring deal structures and term sheets, drafting and reviewing definitive agreements and negotiating key legal and business terms, managing signing, closing and post-closing integration, and overseeing outside counsel
  • Design, implement, and continuously improve scalable legal processes, templates, and playbooks to drive efficiency, consistency, and best practices across M&A and other strategic transactions
  • Act as a trusted business partner to stakeholders across the company, including Corp Dev, Finance, People, Product, and Operations
  • Support adjacent corporate matters as needed, including entity management, employment and compensation, real estate, and insurance

WHAT YOU HAVE

  • JD degree and licensed to practice in either California or New York in good standing
  • 4-6+ years of relevant legal experience in M&A transactions and the ability to flex across adjacent corporate matters
  • At least 4 years in the M&A group of a top-tier law firm, preferably as a 5th year+ associate and with buy-side experience representing fast-growing technology companies
  • Ability to thrive in a fast-paced environment, manage competing priorities, and think creatively and strategically under tight timelines
  • Team-focused and collaborative working style; strong sense of ownership and comfort operating independently in a rapidly evolving practice
  • Exceptional communication skills and intellectual curiosity, with the ability to drive stakeholder alignment, exercise sound judgment and provide solutions-oriented legal advice

COMPENSATION

$220,000 - $270,000 USD
